State Secretary at the Ministry of Finance, Davor Zoricic, presenting two laws in Parliament on Monday, which consists of reform of managing companies in majority state -owned companies, emphasized the strengthening of the state as a key novelty in the responsible owner.

The key news of the legal package, which make up the proposal of the Law on Legal Persons owned by the Republic of Croatia and the proposal of the Law on the Center for Restructuring and Sales (CERP), is a comprehensive strengthening of the role of the state as an active and responsible owner, a clear defining why the state owns an individual company and what he wants to achieve, Zoricic said in a coupled discussion on two laws.

– The aim is to improve corporate management in the Croatian -owned companies, determining clear goals, professionalization and responsibility of management bodies, and increasing transparency and public reporting – he said, and said that this should ultimately result in better services for citizens and greater benefits for the state as the owner.

The state, he said, will retain ownership in those legal entities in which there is a clear and justified reason, with an emphasis on those of strategic, fiscal, economic or infrastructure significance.

The new regulatory framework has also been emphasized to professionalize the management and surveillance structures, so members of the Supervisory Boards will choose in a public tender, which should be distant from political influence. A minimum of 33 percent of independent members of the Supervisory Boards and diversity in the composition by professional experience, education and age is also introduced.

Asked by Sabine Glasovac (SDP) whether we were ready to set women in state -owned management positions, Zoricic replied that all the assumptions were provided for by law.

After the Law enters into force, the Government should receive a decree on the appointment of members of the Supervisory Board and the Management Board within 60 days, and in a year of one year the election of members of the Supervisory Boards and the Management Board, Zoricic explained, answering Ivana Racan (SDP) when asked when the homeland movement ceased to manage Croatian forests.

New laws will be applied to 36 legal entities on the list of special interest and 12 companies in the CERP portfolio, Boris Lalovac (SDP) said.

The new legal framework Krunoslav Katicic (HDZ) assessed as a reform measure to make a huge step forward in the government management segment.
