Corporate Governance in Romania reaches OECD standards
Romania has obtained a favorable opinion from the Committee of Corporate Governance of the Organization for Economic Cooperation and Development (OECD), following a recent evaluation in Paris, between 7 and 8 April 2025. This official opinion represents a recognition of the significant progress registered by our country in aligning the capital market to the international corporate governance principles.
An important moment for Romania
The president of the Financial Supervisory Authority (ASF), Alexandru Petrescu, who participated in the session of the Corporate Governance Committee, stressed the importance of this opinion as a key moment in the process of accession to the OECD. Along with Petrescu, Luca Niculescu, State Secretary and National Coordinator for the process of accession to OECD, Adrian Țuțuianu, Deputy Secretary General of the Government, and Radu Hanga, president of the Bucharest Stock Exchange.
« The formal opinion in the field of corporate governance marks an important moment of recognition of progress after a period of over two years of intense preparations on the stage of alignment of the capital market in Romania at the principles of G20/OCDe of corporate governance, » said Alexandru Petrescu.
The measures implemented in Romania
During the session dedicated to Romania, Petrescu and his team presented the measures implemented at national level to improve the corporate governance of the listed companies. An important point was the progress registered in the implementation of the National Strategy on the development of the capital market. Significant achievements include simplifying the process of listing companies and increasing the liquidity of the secondary market.
Also, the ASF emphasized the continuous commitment to support the achievement of the strategic objectives established for the development of the capital market in Romania, through legislative measures meant to bring more transparency and clarity in the requirements applicable to the listed companies.
Update of Corporate Governance Code
Another important success announced by the ASF president was the update of the Corporate Governance Code of the Bucharest Stock Exchange. The code now includes principles regarding sustainability and treatment of interested parties, which represents an important step in aligning the capital market in Romania to international standards. In addition, additional requirements regarding the conformity of the companies listed with the provisions of this code are provided.
A continuous commitment to develop the capital market
The favorable opinion received from the OECD confirms that Romania has successfully fulfilled the evaluation criteria and that national policies are now aligned with the international standards promoted by the OECD in the field of corporate governance.
