Agricultural complex « Emelyanovsky » can change the owner

The assets of the Novosibirsk agricultural complex « Emelyanovsky », growing vegetables in the Novosibirsk region, can redeem the structures of Gorkuna Group of Companies. Demand for fresh vegetables in retail is growing. But the profitability of their production in greenhouses for a year was halved due to competition and high costs.

Grokunov Civil Code of the GC at the end of April 2025 registered a new structure in the Novosibirsk Region – Emelyanovsky LLC, follows from the Unified State Register of Legal Entities. The address of the company coincides with the location of the Emelyanovsky agricultural complex. The interlocutor “Kommersant” in the agricultural market does not exclude that the new structure was created to purchase assets of the latter. In the Grokunov and « Emelyanovsky » Group, Kommersant did not respond promptly. The Practice of the Practice of Evaluation of Business and Assets Neo Stanislav Mudrov suggests that the transaction value will be up to 500 million rubles. At the value of Emelyanovsky assets, about 800 million rubles. Investbanker Ilya Shumov believes that the purchase price will be 320–360 million rubles.

Registration of a new structure is a common tool in merger and acquisition transactions, explains Andrei Gusev, senior partner of the Nordic Star Law Bureau. According to him, this allows you to reduce the risks: debts, disputes, and tax claims are drawn behind the existing company. The scheme, according to the lawyer Natalia Vorrakvko, is usually used when buying a part of assets, the presence of encumbrances, and a complex property structure.

Gorkuna Group has existed since 2006. Boris Gorkunov and members of his family are considered the founders and main business owners. The net profit of the GK Grokunov JSC for 2024 amounted to 524.8 million rubles, which more than doubled over the year, it follows from the SPARK. The company grows vegetables and flowers in closed ground, is engaged in aquaculture. The portfolio has more than 100 hectares of greenhouses and 11 thousand square meters. m of garden lines for black caviar.

Tamara Reshetnikova, CEO of Growth Technologies, calls Gorkuna Group of Companies the largest manufacturer of closed soil vegetables in the east of Russia. The group also controls the Novosibirsk greenhouse complex, which was recently re -profiled from vegetables to flowers. The expert explains that the priority of cultivating crops in greenhouses is determined by the power of the lamps: the first five years are planted cucumbers, then tomatoes that replace the salad and flowers. Gorkunov, according to Mrs. Reshetnikova, is interested in expanding capacities in Siberia.

JSC « Emelyanovsky » was registered in 2003. The company’s revenue in 2024, according to SPARK, amounted to 1.16 billion rubles, adding 12.7% to the year. Net profit slightly decreased, to 26.1 million rubles. The company produces salads and vegetables under the brand « EM NAME ». The main owners of the business, according to the reporting of Emelyanovsky for 2024, are Svetlana Stepanova (40%) and Konstantin Kodolov (27%). The beneficiaries of the company are Siberian entrepreneurs who previously participated in the development of regional chains of stores “KORA” and “Holide”.

Ilya Shumov explains that now “Emelyanovsky” is a small agricultural enterprise. Its portfolio includes a greenhouse complex, the capacity of which in 2020 was 700 tons of cucumbers and 685 tons of green crops per year, a vegetable store (13 thousand square meters) and 3.8 thousand hectares of agricultural land.

Tamara Reshetnikova explains that the demand for fresh vegetables is growing, Russian consumers are used to eating them all year. Large networks, according to her, prefer to purchase closed soil products. Its suppliers are more predictable in terms of volume and quality of products, the expert explains. According to Nielsen, natural sales of tomatoes and cucumbers from April 2024 to the end of March 2025 increased by 2.5% of the previous 12 months. For salad, the increase amounted to 12.6%, radishes – 8.5%. Only zucchini and eggplant lost part of demand. Their sales, according to Nielsen, decreased by 0.5% and 4.5%, respectively.

Stanislav Mudrov says that the average profitability of growing vegetables in greenhouse farms decreased from 27.55% in 2023 to 12.86% in 2024. This may be due to the saturation of the market and the growth of competition. In Siberia, he said, the picture is worse: the last two years the industry was unprofitable due to high energy consumption for heating greenhouses.
